Welcome to Karevault MLM, powered by Indemandng ("Karevault," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your participation as a distributor in the Karevault multi-level marketing program and your use of our website, indemandng.com. By registering as a distributor or using our services, you agree to be bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using any part of the Karevault program or website, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.
2. Eligibility
To become a Karevault distributor, you must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction. You must also reside in a country where Karevault operates and is legally permitted to conduct MLM activities. By registering, you represent and warrant that you meet these eligibility requirements.
3. Independent Contractor Status
As a Karevault distributor, you are an independent contractor. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship between you and Karevault or Indemandng. You are solely responsible for your own business decisions, expenses, and compliance with all applicable laws, including tax obligations. You are not authorized to make any representation or incur any debt on behalf of Karevault or Indemandng.
4. Distributor Responsibilities
As a Karevault distributor, you agree to:
• Adhere to Ethical Conduct: Conduct your business with honesty, integrity, and professionalism, and avoid any deceptive, misleading, or unethical practices.
• Comply with Policies: Abide by all Karevault policies and procedures, including but not limited to the Privacy Policy, Refund Policy, and Commission Policy.
• Product Sales Focus: Focus on the retail sale of Karevault products to end consumers. Commissions are earned solely on product sales, not on recruitment or registration fees.
• Accurate Representations: Accurately represent Karevault products and the compensation plan. You must not make any income claims or guarantees.
• Compliance with Laws: Comply with all federal, state, and local laws and regulations applicable to your business activities, including consumer protection laws and advertising regulations.
• No Unauthorized Claims: Refrain from making any medical, therapeutic, or exaggerated claims about Karevault products not explicitly approved by Karevault.
5. Compensation Plan
Karevault offers a comprehensive compensation plan that rewards distributors for their product sales and the sales of their downline organization. Details of the compensation plan, including commission structures, bonuses, and qualification requirements, are provided in the separate Karevault Commission Policy and official compensation plan documents. Commissions are paid solely on the sale of products to end consumers and are not based on recruitment or registration fees.
6. Prohibited Activities
Distributors are strictly prohibited from engaging in the following activities:
• Pyramid Scheme Activities: Engaging in any activity that constitutes or promotes a pyramid scheme, where compensation is primarily derived from recruitment rather than product sales.
• Misleading or Deceptive Practices: Making false or misleading statements about Karevault products, the compensation plan, or potential earnings.
• Unauthorized Use of Intellectual Property: Using Karevault's or Indemandng's trademarks, logos, copyrighted materials, or other intellectual property without prior written authorization.
• Spamming: Sending unsolicited commercial emails or messages.
• Cross-Recruiting: Attempting to recruit other Karevault distributors into other MLM programs.
• Product Loading: Purchasing excessive amounts of products solely for the purpose of qualifying for commissions or bonuses, without a reasonable expectation of retail sale.
7. Intellectual Property
All content on the indemandng.com website, including text, graphics, logos, images, and software, is the property of Indemandng or its content suppliers and protected by intellectual property laws. Karevault grants you a limited, non-exclusive, non-transferable license to use its trademarks and copyrighted materials solely for the purpose of promoting Karevault products and the business opportunity in accordance with these Terms and Karevault's brand guidelines.
8. Termination
Karevault reserves the right to terminate or suspend your distributor account and participation in the MLM program immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the service will immediately cease. If you wish to terminate your account, you may do so by contacting us.
9. Disclaimer of Warranties
Karevault products and services are provided on an "as is" and "as available" basis. Karevault and Indemandng make no warranties, expressed or implied, regarding the products, services, or your participation in the MLM program, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
In no event shall Karevault, Indemandng, nor their directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
